Deutsche Börse Group has confirmed it is in exclusive discussions with Allfunds regarding a potential acquisition of the entire capital of the company, with Allfunds' board of directors unanimously agreeing to enter exclusivity based on this proposal. The non-binding proposal currently under discussion involves a total consideration of 8.80 euros per Allfunds share, comprising 4.30 euros in cash and 4.30 euros in new Deutsche Börse Group shares, plus an authorized dividend of 0.20 euro per share for the fiscal year 2025. This valuation represents a significant premium over the previous day's closing price and explains the immediate market reaction.

The Allfunds stock, which was trading at an annual low of 4.24 euros in early April 2025, has thus reached significantly higher levels and is mechanically approaching the price proposed in the preliminary offer.
