Arverne: Pierre Brossollet Partners with Infragreen V for a €70M Fundraising
Arverne's founder and CEO, Pierre Brossollet, strengthens his control over French geothermal energy by partnering with the Infragreen V fund, managed by Rgreen Invest. This alliance aims to finance a €70M ORANE issuance, with €37M contributed by the joint holding company Geogreen.
Capital Increase through a Joint Holding
Arverne, the French leader in geothermal solutions, announced on Tuesday a shareholder restructuring project. Pierre Brossollet, founder and CEO, is partnering with Infragreen V to acquire minority stakes held by historical shareholders and strengthen his position as the principal shareholder. These sales will allow these shareholders to realize a significant capital gain while preserving future upside potential. The capital increase would be carried out via Geogreen, a joint holding that Infragreen V would subsequently join. Brossollet would contribute all of the Arverne shares he currently holds through his entity Arosco SARL, while retaining majority control of Geogreen. All acquisitions and reclassifications would be made at the reference price of €4.00 per Arverne share.
Financing the Dual Flow Plan
Geogreen would become the main subscriber of the planned ORANE issuance, with an investment of €37M. The total amount of the operation would reach €70M, including previously announced commitments from Bpifrance, Eiffel Essentiel, Ademe Investissement, and Crédit Mutuel Equity. This financing is presented as a key element of the strategic Dual Flow plan, aimed at accelerating the deployment of Arverne's geothermal projects. The closing is expected no later than July 17, 2026. Following this, Arosco and Infragreen would be deemed to act in concert, with the intention of keeping Geogreen's participation below the 30% threshold of capital and voting rights.
Rgreen Invest to be Represented on the Board of Directors
Rgreen Invest, the manager of the Infragreen V fund, will be represented on the board of directors of Arverne by a designated administrator. Rgreen Invest manages over €3.4 billion since its inception and has supported approximately 5,000 projects in Europe representing 14 GW of installed capacity.
