BNP Paribas to Sell 67% of BMCI to Holmarcom, Completion Expected by End of 2026
BNP Paribas has reached an agreement with Holmarcom Finance Company (HFC) to sell its 67% majority stake in the Banque Marocaine pour le Commerce et l'Industrie (BMCI). The transaction, expected in the fourth quarter of 2026, is subject to regulatory approvals.
Sale of Majority Stake in BMCI to Holmarcom
BNP Paribas and Holmarcom Finance Company have finalized an agreement to sell a 67% stake in BMCI, following exclusive discussions that began on December 12, 2025. The Holmarcom group, a shareholder in BMCI for over 30 years, will thus increase its stake in the Moroccan banking institution. The transaction is expected to be completed in the fourth quarter of 2026, pending the necessary regulatory approvals.
Estimated Impact and Future Commitments
BNP Paribas estimates the impact of this transaction on its CET1 ratio to be approximately 15 basis points (bps) at the time of completion. The group affirms its ongoing long-term commitment to Morocco, particularly in its investment banking activities. A commercial partnership agreement with HFC will ensure the continuity of services provided to corporate clients of both BNP Paribas and BMCI.
