North Atlantic France SAS has announced the completion of the acquisition of the entire stake held by ExxonMobil France Holding SAS in Esso Société Anonyme Française. The transaction price was set at €26.19 per share, in accordance with the terms defined in the announcement of November 10, 2025. The company, now named North Atlantic Energies, officially adopted this new name during the Mixed General Meeting on November 4, 2025. The new Euronext mnemonic 'NAE' will replace the previous 'ES' starting December 2.

According to the statement, North Atlantic France plans to launch a simplified public tender offer at a price of €28.93 per share for all the shares of North Atlantic Energies that it does not yet own, once the work of the independent expert is completed. The company also intends to proceed with a mandatory withdrawal if the conditions are met. North Atlantic Energies will submit to the AMF a draft response note including the report of the independent expert, presented in the form of a fairness opinion.
