Vinpai: AMF Approves Simplified Takeover Bid by Camlin Fine Sciences at €3.60 per Share
The French Financial Markets Authority approved on Thursday the simplified public takeover offer launched by Indian group Camlin Fine Sciences to acquire the remaining shares of Vinpai at a price of €3.60 per share.
Gradual Acquisition by the Indian Group
Camlin Fine Sciences Limited, an Indian company listed on the Mumbai Stock Exchange, initially acquired 78.68% of Vinpai's capital on November 27, 2025, through a contribution in kind at a price of €3.60 per share. The group then subscribed to 1.1 million new shares resulting from the conversion of convertible bonds, increasing its stake to 83.82% of the capital and 80.85% of the voting rights.

The simplified public takeover offer targets the remaining shares of Vinpai at the same price of €3.60 per share. Documents detailing the schedule and conditions of the offer were made available on Thursday by Camlin Fine Sciences on the websites of the AMF, the acquiring group, and Vinpai. ALLinvest Securities is acting as the presenting institution for the offer, while Fontaine Avocats serves as legal counsel.
