ABL Texcell Diagnostics: ABL Luxembourg Seeks 12-Month Lock-up on Future Disposals
In a press release published on October 19, 2026, the molecular diagnostics company listed in Paris relayed the intentions of Advanced Biological Laboratories S.A. (ABL Luxembourg) regarding the future management of its stake. It also announced the imminent end of a securities lending arrangement and reiterated the key pillars of its growth strategy.
Long-term Acquirers Targeted for Potential Block Sales
On the recommendation of ABL Texcell Diagnostics' board of directors, ABL Luxembourg indicated that, in the event of future disposals of significant blocks of the company's shares, it intends to favor investors sharing a long-term vision. These investors must accept, when the conditions of the transaction permit, a commitment to retain the securities ("lock-up") for a minimum duration of twelve months.
According to the press release, this approach aims to promote stable and lasting shareholding, consistent with the company's development strategy. This is an intention of ABL Luxembourg, which constitutes neither a commitment to dispose nor an announcement of a specific transaction.
ABL Texcell Diagnostics further recalled that block disposals carried out previously were effected by ABL Luxembourg, in its capacity as shareholder, and not by the company itself. Relating to existing shares, these transactions did not result in any issuance of new shares, any dilution of shareholders, or any proceeds to the benefit of the company.
End of Securities Lending to Alumni Capital Anticipated, Growth Strategy Reiterated
According to information disclosed by ABL Luxembourg, a final tranche of 10,000 ABL Texcell Diagnostics shares remains on loan to Alumni Capital, with return scheduled for end of October 2026. Subject to its effective completion, this return will mark the conclusion of the securities lending arrangement in question, and no additional shares may be loaned to Alumni Capital under this agreement.
These guidelines result from the recommendations of ABL Texcell Diagnostics' board of directors and the position expressed by ABL Luxembourg. Dr. Chalom Sayada intervenes in this capacity as Chief Executive Officer of ABL Texcell Diagnostics and as co-founder and principal shareholder of ABL Luxembourg.
The company recalled that its growth strategy is based in particular on the development of molecular diagnostics, sequencing and services for biopharmaceutical development, the strengthening of its international presence, the implementation of synergies resulting from recent strategic operations, including the acquisition of Texcell's activities, and the selective examination of external growth opportunities.
"The Company can thus remain fully focused on its operational priorities: developing its activities, accelerating its international expansion, capitalizing on the complementarity of its expertise and pursuing sustainable growth for the benefit of all its shareholders," declared Dr. Chalom Sayada.
