Adeunis: Mandatory Buyout at 0.84 € and Delisting from Euronext on October 15
Webdyn will proceed with the mandatory buyout of Adeunis shares it does not yet hold, following the completion of its simplified public tender offer.
398,843 shares targeted at the price of 0.84 euros
Webdyn, a simplified joint-stock company with registered office located in Saint-Germain-en-Laye, has informed the AMF of its decision to implement a mandatory buyout covering the 398,843 Adeunis shares it does not yet hold, directly and by assimilation, at the price of 0.84 euros per share, net of all costs.
This operation follows the simplified public tender offer initiated by Webdyn and covering the shares and share subscription warrants issued by Adeunis, at the unit price of 0.84 euros per share and 22,700 euros for the share subscription warrant. Adeunis is a limited company with registered office located in Crolles, in Isère.
The information was transmitted to the AMF by Crédit Industriel et Commercial (CIC), acting on behalf of Webdyn, by letter dated September 29, 2026.
Implementation on October 15 and Delisting from Euronext Growth
In accordance with AMF opinion D&I No. 226C1662 of September 30, 2026, the mandatory buyout will be implemented on October 15, 2026, at the price of 0.84 euros per share. The suspension of trading in Adeunis shares is maintained until this implementation, and the shares will be delisted from Euronext Growth Paris on the day the mandatory buyout becomes effective.
Webdyn has committed to paying the total compensation amount into a blocked account opened with CIC CIB, centralizing agent for compensation operations. Funds corresponding to shares whose rightful owners have remained unknown will be held for a period of ten years from the date of the mandatory buyout, then transferred to the Caisse des dépôts et consignations upon expiration of this period.
The information note relating to the offer was approved by the AMF on September 11, 2026 under number 26-337, and the response note prepared by Adeunis was approved on the same day under number 26-338. On a fully diluted basis, the Initiator holds 4,275,068 Adeunis shares representing 91.47% of the capital and theoretical voting rights of the Company.
