Agripower Initiates a Second Capital Increase of €0.6 Million
Agripower France has announced the launch of a second capital increase through a private placement with an indicative amount of €0.6 million, aimed at qualified investors. This move actualizes a subscription commitment that operational constraints had previously prevented from finalizing during the initial capital raise at the end of June.
Realization of a Deferred Commitment from June
The press release dated July 16 specifies that during its first capital increase in June, Agripower had received a subscription commitment of €600,000 from the Vaury Family, through Johes SAS. Operational constraints at that time made it impossible to finalize this commitment according to the initial schedule. The capital increase, launched in mid-July as previously announced, reconstructs this operation with the same pricing conditions and modalities as the one carried out at the end of June 2026. The funds will be raised from qualified French and international investors, following an accelerated book-building process. The timeline anticipates a closure by July 17, 2026, before the market opens, with settlement-delivery and admission to trading scheduled for July 21, 2026, on Euronext Growth Paris.
Structure and Shareholders' Rights
The operation is carried out with the elimination of the preferential subscription rights of the existing shareholders, in accordance with the 3rd resolution of the Mixed General Meeting of September 15, 2025, and the decisions of the Board of Directors on July 15, 2026. Prior to this increase, Agripower's share capital consists of 14,054,495 shares with a nominal value of €0.10 each. The new shares will be assimilated to the old shares upon the definitive completion of the increase. They will carry current enjoyment and will be admitted on the same trading line as the existing shares, under the ISIN code FR0013452281 – ALAGP. No abstention or retention commitments are planned, and the operation is not subject to any guarantee.
