Altarea and Praemia shareholders end their dispute: €10M paid and €60M invested
Altarea has concluded a comprehensive settlement with the shareholders of Praemia group (formerly Primonial group), closing the dispute that was pending before the Paris Court of Appeal. The settlement, resulting from voluntary mediation, is accompanied by a payment and a stake acquisition through preferred shares.
A dispute resolved through mediation, without admission of liability
Altarea and the shareholders of Praemia group (formerly Primonial group) announced on August 26, 2026 that they had signed a comprehensive settlement agreement terminating the dispute pending before the Paris Court of Appeal. The agreement was reached following a voluntary mediation process.
The parties agreed that no fault is attributable to either party and that neither admits any liability. They mutually withdraw from all ongoing proceedings and waive their respective claims for damages.
They also undertake not to initiate any new legal action in connection with the facts and claims at the origin of the dispute.
Payment of €10M and subscription of €60M in preferred shares
Altarea made a settlement payment of €10M to the director-shareholders concerned. Furthermore, as part of its strategic roadmap, Praemia group is strengthening its equity through Altarea's subscription of €60M in preferred shares.
These shares are accompanied by a preferential and priority liquidity right with no voting rights and priority dividend rights. According to the press release, this transaction does not result in any change to Praemia group's strategic direction.
Praemia, manager of over €33 billion in real estate assets
Praemia group presents itself as a European real estate asset manager with over €33 billion in assets under management and a portfolio of more than 1,700 properties spread across 12 countries.
According to the press release, 63% of the portfolio is invested in alternative assets (healthcare, hospitality and residential) and 37% in commercial assets (offices and retail), with the group relying on 450 employees. Altarea is listed on Compartment A of Euronext Paris.
