Apollo Minerals: 2026 governance led by a four-member board of directors
The Australian mining group, now listed on Euronext Growth Paris, has published its annual governance statement as of 30 June 2026. The document describes the organization adopted by the board for a company currently engaged in mining exploration and development activities.
It specifies the degree of compliance with the governance principles of the ASX Governance Council, fourth edition.
Governance calibrated to the size of the company
Apollo Minerals indicates that it has built its governance policies taking into account several factors, including the relatively simple nature of its operations, limited to mining exploration and development activities, as well as the size of the board, its reduced market capitalization and direct shareholder feedback.
The board has adopted a set of charters and governance documents published in the dedicated section of its website. These documents are reviewed at least once a year to account for developments in practices and regulations.
The statement explains how the company complies with the ASX governance principles and recommendations, February 2019 edition, for the financial year ended 30 June 2026.
The board alone assumes committee functions
The company specifies that it has not established separate audit, remuneration, nomination or risk committees, with the board as a whole exercising these functions under the charters it has adopted. The board believes that no additional efficiency or benefit would be achieved by creating such separate committees, given its size and development stage.
The board has four directors, a majority of whom are considered independent. The chairman, Ian Middlemas, is an independent non-executive director, while the chief executive officer position is held by Neil Inwood.
The company also indicates that it has not adopted a diversity policy nor set measurable objectives regarding gender diversity for the 2026 financial year, considering that its size does not justify this at this stage, and specifies that it will reconsider this position as its activities develop.
