Fnac Darty: Brussels Authorizes Acquisition by EP Group, €35 Tender Offer Approaches Closing
This decision, presented in the October 20, 2026 press release as the final authorization expected for the transaction, precedes a closing scheduled for early November 2026.
Final Authorization Obtained, Definitive AMF Calendar Expected
Fnac Darty and EP FR HOLDCo announced that they obtained authorization from the European Commission under merger control procedures for the acquisition project of Fnac Darty. EP FR HOLDCo is the vehicle controlled by EP Group and established for the purposes of the public tender offer targeting shares and OCEANEs in circulation.
As a consequence of this decision, the Financial Markets Authority (AMF) will make known in the coming days the definitive calendar for the offer, notably its closing date. November 12, 2026 is mentioned as the indicative date for settlement-delivery of the initial acceptance period.
A Price of €35 Per Share and €81.16 Per OCEANE
The offer price is set at €35 per share, following the payment on June 5, 2026 of a dividend of €1 per share for the 2025 financial year. For OCEANEs, it stands at €81.16, based on an interest period running from March 23, 2026 to November 12, 2026.
The offer was declared compliant by the AMF on May 7, 2026. The regulator affixed its visa to the information memorandum of EP FR HOLDCo under number 26-128 and to the response memorandum of Fnac Darty under number 26-129.
The Board of Directors of Fnac Darty, on the recommendation of the ad hoc committee, issued a favorable opinion on the offer. The Ledouble firm, acting as independent expert, issued a report specifying that the financial terms are fair for shareholders and OCEANE holders. Documentation relating to the offer is available on the websites of Fnac Darty and the AMF.
