Forsee Power Negotiates €20M Capital Increase with FCAP Investors
The French specialist in battery systems for commercial and industrial electric vehicles has entered exclusive talks with FCAP Investors Pte. Ltd, an Asian private equity fund, for a capital increase of approximately €20M. This move aims to strengthen the financial structure of the group and support the execution of its strategic plan RePower27.
A Fundraising to Accelerate the Group's Recovery
Forsee Power announced on July 15, 2026, that it has entered into exclusive negotiations with FCAP Investors Pte. Ltd for an investment intended to consolidate its financial situation. The Asian fund, specialized in long-term investments in high-growth potential companies, particularly in innovative technologies and energy transition, has submitted a capital increase offer of about €20M. This investment would be made through a dedicated company based in Singapore, at a price of €0.25 per share, subject to final approval. The French group, which designs and supplies energy management systems for electrified heavy transport and currently equips 5,500 heavy vehicles and 150,000 light vehicles with batteries, plans to use these resources to support its plan to return to profitability. Christophe Gurtner, founder and CEO of Forsee Power, stated that this proposal is part of the 'momentum' to strengthen the group's financial resources and accelerate the execution of the RePower27 plan. The leader emphasized that the operation could consolidate the group's European industrial position while providing access to technological partnerships.
Mitsui & Co to Divest Entire Stake
The transaction plan also includes the acquisition of the entire stake of Mitsui & Co by FCAP Investors Pte. Ltd, Eurazeo, and Noria, concurrently with the capital increase. Following these two transactions, FCAP would become one of the main shareholders of the group, with its share remaining below the 30% threshold. Current shareholders of the group (Bpifrance Investissement, Eurazeo, and Noria) will also participate in this capital increase, thereby renewing their confidence in Forsee Power's industrial project and their support for the management in executing the strategic plan. FCAP has also requested representation on the group's board of directors. The proposed investment price of €0.25 per share reflects a valuation to be set upon finalization of the transaction.
Regulatory Approval Required and Schedule to be Determined
Completion of the transaction remains subject to several prerequisites. It notably requires prior approval from the Ministry of Economy regarding the control of foreign investments in France. Finalization is also conditioned by the completion of contractual documentation, decisions by the competent corporate bodies of Forsee Power, as well as the usual conditions applicable to this type of operation. Forsee Power indicated that the process could extend over several weeks, the time to conduct due diligence and obtain regulatory authorization. The final terms of the transaction, including its definitive amount, structure, schedule, and impact on shareholder participation, will be communicated later in a dedicated press release.
