Miliboo: Founder Buys Back M6's Shares and Targets 48.81% of Capital
The founder of the online furniture brand has also signed the buyback of a stake from Auriga Partners, with bank financing from Société Générale. This change in reference shareholder is accompanied by a project to transition to a Board of Directors and Supervisory Board structure, to be submitted to shareholders on November 20, 2026.
Two Blocks Bought Back Off-Market at €1.0 per Share
On October 15, 2026, Guillaume Lachenal, founder and Chief Executive Officer of Miliboo, bought back off-market the entire stake held by M6 Group. This block represents 21.40% of the capital, or 1,483,213 shares, sold at the price of €1.0 per share. This first transaction was completed on the same day as the announcement.
The second part concerns Auriga Partners. The executive signed, on the same date, the off-market buyback of a block of 806,260 shares, to which the same number of voting rights are attached, representing 11.63% of the capital. The price retained is identical, but this sale has not yet been completed: it should take place in the coming days, and a press release will announce its completion.
Following the transfer of all securities, Guillaume Lachenal's direct and indirect stake will increase from 15.78% to 48.81% of the capital. In terms of actual voting rights, it will evolve from 18.98% to 46.32%. The founder will thus become the leading shareholder of the company he created in 2005.
Indirect ownership is exercised through the companies GL Capital, Belharra Sarl and Nexus. In substance, the transaction changes the nature of reference shareholding: the entirety of a media group's stake and part of Auriga Partners' stake shift to the operating executive. The latter presents this move as reflecting his "conviction about the strong development potential of Miliboo twenty years after its creation".
M6 Exits Capital and Board, Auriga Partners Remains at 17.45%
Once the transactions are completed, Auriga Partners will remain a shareholder of Miliboo at 17.45% of the capital. M6 Group is meanwhile completely exiting the shareholder base. M6 Interactions resigned from its board mandate at the time of the sale of its stake.
The post-transaction shareholder table published by the company shows, alongside the founder and Auriga Partners, a group bringing together Magelio, Trail Solutions Patrimoine, Saint Leger Holding and Advest, as well as shares held under the liquidity agreement and treasury shares. The number of theoretical voting rights stands at 9,457,766.
The buyback was not entirely self-financed by the executive: Guillaume Lachenal thanked Société Générale for its support in providing bank financing for the transaction. On the seller's side, Henri de Fontaines, Chief Financial Officer, Technologies and Transformation of M6 Group, recalled that the audiovisual group had supported Miliboo for seven years.
According to him, this partnership, "initiated under a Media for Equity agreement", contributed "to strengthening the visibility and reputation of a brand that is taking an increasing place in France and Europe". M6's exit ends this shareholder relationship backed by the brand's media visibility.
A Board of Three Members Proposed to the Assembly on November 20
Miliboo plans to transition from a Board of Directors structure to an organization with a Board of Management and Supervisory Board. The project will be submitted to an Extraordinary General Meeting convened for November 20, 2026. It aims to separate operational management from control functions, with reference to governance practices promoted by AFEP-MEDEF.
The Board of Management would be composed of Guillaume Lachenal, Nadège Leger, current Chief Operations Officer, and Claire Tang, current Marketing Director. Appointments to the Supervisory Board will be announced within regulatory timeframes. This change occurs at a time when the founder is concentrating nearly half of the capital: the new structure will formally distinguish the management team from the control body.
On the operational front, the company closed on April 30, 2026 a 2025-2026 fiscal year that it qualifies as record-breaking and profitable, with revenue of €44.0 million, achieved 83% in France and 17% in Europe. On September 17, 2026, Miliboo reported a 19.1% increase in its revenue for the first quarter of the 2026-2027 fiscal year. The company, which recently launched a bathroom range, indicates it wants to gain market share in France and accelerate its commercial presence in Europe, where it operates in six countries.
The next milestone is scheduled for December 10, 2026, after trading hours, with the publication of the semi-annual revenue for the 2026-2027 fiscal year.
