Nyrstar NV announced on September 2, 2026 that its board of directors has reviewed certain aspects of its governance framework. The company justified this decision by the evolution of the board's composition and recent developments relating to ongoing legal proceedings and investigations.
The board decided to establish an ad hoc advisory committee responsible for overseeing the company's important legal proceedings and investigations, designated as the "Litigation Committee". This committee will assist the board on an advisory basis and replaces the special committee created in 2024 for the substantive proceedings.
The committee will provide the board with targeted assessments and opinions on the important legal proceedings to which the company is a party.
Committee composition and update to the governance charter
The Litigation Committee is composed at this stage of Marc Taeymans as chairman and Tushia BV, represented on a permanent basis by Dirk Tirez.
The board of directors has also revised the Corporate Governance Charter to reflect this change and other adjustments. The updated version is available on the company's website.
