Perseida Renta Gestion SOCIMI Requests Delisting from Euronext Prior to Liquidation
The Seville-based real estate company Perseida Renta Gestion SOCIMI, which has ceased operations following the sale of its last real estate asset, has initiated the delisting of its securities. This step precedes a dissolution and liquidation procedure for the company.
5,012,293 Shares, Delisting Approved Unanimously
Perseida Renta Gestion SOCIMI announced that it has formally submitted to Euronext Paris S.A. a request for voluntary delisting of all 5,012,293 ordinary shares (ISIN: ES0105612008), admitted to trading on Euronext Access Paris. The announcement was made in accordance with Article 17 of European Regulation No. 596/2014 on market abuse and Article 61004/2 of Euronext's Rule Book I relating to permanent obligations of listed companies.
According to the press release, this delisting was approved unanimously by 100% of shareholders on October 20, 2025. It is part of a corporate restructuring and divestment strategy intended to result in its liquidation. The press release is signed by D. José María Gallego Moyano, Chairman of the Board of Directors, on behalf of Housing Proyectos & Obras SL.
Last Asset Divested, SOCIMI Status Abandoned and Capital Reduced
Following the shareholders' resolution, the company divested its last real estate asset on June 25, 2026, and has not engaged in any activity since. On July 23, 2026, it filed with the Spanish tax authorities its formal request to exit the SOCIMI tax regime, which terminates, according to the press release, the listing obligation that was attached to it.
The company also proceeded with a capital reduction of 1,186,431 euros through the cancellation of 1,186,431 shares in order to return their contributions to two existing shareholders. Share capital was thus reduced to 5,012,293 shares.
Effectiveness Subject to Euronext Market Notice
The effective date of delisting remains subject to confirmation and publication of a market notice by Euronext Paris S.A. Once delisting takes effect, the company will initiate an orderly dissolution and liquidation procedure.
Given the unanimous approval of all shareholders, no exit mechanism for minority shareholders or any repurchase offer is required, according to the company.
