A mandate renewed for twelve months
SMAIO, a Franco-American company specializing in complex spinal surgery listed on Euronext Growth Paris, announced on September 3, 2026 the reappointment of Dr. Donald J. Blaskiewicz to its North American scientific council.
A neurosurgeon at St. Luke's Clinic in Boise (Idaho, United States), Dr. Blaskiewicz has been serving on the scientific council since March 1, 2025 for an initial term of twelve months. His mandate is renewed for an additional twelve-month period, under the same conditions.
The Company's scientific council currently comprises five North American surgeons.
Remuneration in the form of share subscription warrants
Dr. Blaskiewicz's remuneration is effected principally in the form of share subscription warrants (BSA). The Board of Directors, meeting on July 15, 2026, decided on the principle of issuing a maximum total number of 25,000 BSAs (the "BSA 2026-02") allocated in full to the surgeon, pursuant to the delegation of authority granted by the Mixed General Meeting of June 16, 2026.
The BSAs will be issued at a unit price of €3.33. Each BSA will entitle the holder to subscribe to one ordinary share, for a period of five years, at a unit price of €7.61, including share premium.
The maximum number of shares likely to be issued amounts to 25,000 ordinary shares, representing approximately 0.41% of the Company's current capital.
