Watera: Shareholders Approve Merger by Absorption of its Luxembourg Subsidiary
The general assemblies of Watera SA and its subsidiary Watera International SA approved the cross-border merger by absorption project. The operation, which aims to consolidate the Group's activities within a single French legal entity, remains subject to the completion of final regulatory formalities.
Merger Approved by Both General Assemblies
Watera SA (Euronext Growth Paris), specialized in industrial and municipal water treatment solutions, announced on September 16, 2026 that the cross-border merger by absorption project of its Luxembourg subsidiary Watera International SA was approved by the general assemblies of both companies, held on September 15 and 16, 2026 respectively.
According to the company, these approvals constitute a step in the implementation of the transaction, which is proceeding in accordance with the timetable and terms set out in the merger project, information about which is available on the Watera SA website.
Consolidation of Activities Within a French Entity
The merger is intended to consolidate the Group's activities within a single French legal entity, reducing the number of legal entities to be managed, the reporting obligations to be satisfied, as well as compliance and governance costs.
Beyond this simplification, the company indicates that the transaction is part of a strategic project designed to support the Group's development. It aims to strengthen Watera SA's financial profile and increase its capacity to finance future external growth operations, in particular through the use of new share issuances to remunerate all or part of the acquisition price. Watera SA indicates that it is currently examining several external growth opportunities and projects.
Implementation Subject to Final Regulatory Formalities
The final completion of the merger remains subject to the completion of final formalities and conditions provided for by applicable regulations. The company indicated that it would keep the market informed of the next stages of the transaction.
The group's next publication, devoted to first-half 2026 results, is scheduled for September 30, 2026.
