Clariane Launches a 500 Million Euro Bond Issue to Refinance Its Debt
Clariane announces the launch of a 500 million euro bond offering, denominated in euros and maturing in 2031, aimed at refinancing part of its existing debt.
Details of the Bond Offering
Clariane is proposing a nominal offer of 500 million euros of new senior bonds denominated in euros, maturing in 2031. The completion of this offer is subject to market conditions. The group plans to use the net proceeds from the offering, together with its available cash, to refinance its Schuldschein maturing in 2026 and 2027, as well as its Euro PP bonds maturing in 2027 and 2028, either at maturity or prematurely.
Regulatory and Market Restrictions
The bonds will be offered only outside the United States in accordance with Regulation S of the U.S. Securities Act of 1933. The announcement specifies that the bonds are not intended to be offered to retail investors within the European Economic Area or the United Kingdom. The bond issuance will be carried out in accordance with an exemption from the requirement to publish a prospectus as provided by the Prospectus Regulation.
