Argan Restructures Its Supervisory Board with the Arrival of Laurence Batlle

Changes in the Supervisory Board
During the supervisory board session on December 9, 2025, it was noted that Eric Donnet no longer met the independence criteria of the Middlenext corporate governance code, according to the statement. This situation stems from an employment contract signed between him and Argan effective January 2, 2026. In this context, Jean-Claude Le Lan Junior resigned effective December 31, 2025, to allow the company to maintain the required quota of independent members. On the recommendation of the nomination and compensation committee, the board unanimously appointed Laurence Batlle as an independent member effective January 1, 2026, for the remaining duration of her predecessor's term, until the general meeting scheduled for March 26, 2026.
Laurence Batlle's Professional Background
A graduate from ICN with a diploma in accounting expertise, Laurence Batlle has over 30 years of professional experience, including 8 years as a leader of major companies, the group indicates. She has notably served as the Chairwoman of the Executive Board of RATP Dev and as Executive Chairwoman of Foncia. She also holds non-executive director positions in several companies. This appointment is provisional and will be submitted for ratification at the next general meeting. Subject to ratification and renewal for four years, Laurence Batlle will be appointed as a member and chairwoman of the audit, risk, and sustainability committee, replacing Eric Donnet.
Upcoming Changes in Leadership Roles
Eric Donnet is set to become the Vice-Chairman of the supervisory board starting March 27, 2026, Argan specifies. Following these changes, the supervisory board now comprises six members, including two independents, thus representing one-third of its composition, in accordance with the Middlenext code recommendation. The real estate company emphasizes that this appointment achieves gender parity within its supervisory board. Argan will publish its 2025 annual results on January 22 and will hold its general meeting on March 26.
