Capital B acquires 4 bitcoins and increases its reserve to 3,525 BTC
Capital B announced the completion of a capital increase under its ATM-type contract concluded with TOBAM, with the proceeds used to acquire new bitcoins. The operation is part of the Bitcoin Treasury Company strategy claimed by the company listed on Euronext Growth Paris.
Acquisition of 4 BTC and holdings increased to 3,525 BTC
Capital B indicated that it has acquired 4 bitcoins for an amount of €0.27 million, thanks to the proceeds of a capital increase of €0.25 million realized at €5.64 per share. The company and its subsidiary Capital B Luxembourg SA now hold a total of 3,525 BTC as part of their Bitcoin Treasury Company strategy.
This holding corresponds to a total acquisition value of €309.7 million, on the basis of an average price of €87,854 per bitcoin. The company specifies that it additionally holds 61 BTC for its operational needs, separated from its strategic reserve and not included in its key performance indicators.
Capital increase carried out via the ATM contract
The capital increase, for a total amount of €249,651.04 including share premium, was carried out by issuing 44,227 new ordinary shares at the average price rounded to €5.64 per share. This price was adjusted to reflect the share consolidation whose effective date was announced on September 8, 2026.
The operation, which combines TOBAM's subscription requests between August 24 and September 11, 2026, was conducted in accordance with the terms of the ATM contract renewed on January 26, 2026 and the authorization granted by the general assembly of June 17, 2026. It does not give rise to the preparation of a prospectus subject to the approval of the Financial Markets Authority. The execution of the acquisition of BTC and their custody were entrusted to Swissquote Bank Europe SA, the company's sole BTC custodian.
