Capital B Acquires 13 Additional Bitcoins and Increases Reserve to 3,538 Units
The company listed on Euronext Growth Paris financed the purchase of 13 new bitcoins through a capital increase carried out with Tobam. The group reports a "BTC Yield" of 2.20% since the beginning of the year.
13 Bitcoins Acquired Through a Capital Increase of 0.98 Million Euros
Capital B confirmed on September 28, 2026 the completion of capital increases at €5.68 per share, for an amount of 0.98 million euros, as part of its ATM-type emission contract concluded with Tobam. The proceeds from this operation enabled the acquisition of 13 additional bitcoins, for an amount of 0.97 million euros.
In detail, the company issued 172,978 new ordinary shares at an average rounded price of €5.68 per share, for a total of €982,872.69 including share premium. This operation groups together subscription requests formulated by Tobam between September 14 and 22, 2026, the price of which was determined according to the terms of the ATM contract renewed on January 26, 2026.
The subscription price of each request corresponds to the highest of three references: the closing price of the session preceding the request, the euro equivalent of an adjusted net asset value defined by the company, and the floor price set by the extraordinary general meeting of June 17, 2026. The number of shares requested cannot exceed 21% of the trading volume of the session preceding the request.
The average rounded price of €5.68 represents a premium of 3.8% compared to the closing price of the session preceding publication. The shares issued will be admitted for trading on Euronext Growth in Paris. The operation does not require the preparation of a prospectus subject to approval by the AMF.
A Reserve Increased to 3,538 Bitcoins for an Acquisition Value of 310.6 Million Euros
As of the date of the press release, Capital B and its subsidiary Capital B Luxembourg SA hold a total of 3,538 bitcoins as part of the Bitcoin Treasury Company strategy. This reserve represents an acquisition value of 310.6 million euros, based on an average price of €87,805 per bitcoin.
Since the beginning of the year, the group reports a "BTC Yield" of 2.20%, a "BTC Gain" of 62.1 bitcoins, and a "BTC € Gain" of 4.6 million euros. Over the current quarter alone, the "BTC Yield" stands at 0.34%. The company specifies that these indicators serve to monitor its strategy and do not constitute measures of operational, financial, or liquidity performance.
Capital B further indicates that it holds 61 additional bitcoins for its operational needs. These bitcoins are segregated from the reserve constituted under the Bitcoin Treasury Company strategy and are not included in the key indicators published by the company.
The acquisition was executed by Swissquote Bank Europe SA, a crypto-asset service provider authorized under the MiCA regulation, which also ensures the custody of bitcoins via the technological solution of the Swiss company Taurus. Swissquote Bank Europe acts as the sole custodian of the company's bitcoins.
A Fully Diluted Basis Incorporating Conversions and Future Allocations
The calculation of indicators is based on a fully diluted number of shares that incorporates several components. This includes all outstanding ordinary shares, shares resulting from the conversion of convertible bonds issued, as well as 184,076 free shares allocated to certain employees and corporate officers, but not yet definitively acquired by their beneficiaries.
The company adds to this an indicative reserve of 490,000 additional potential shares, likely to be issued or allocated in the future, taken into account prudently to anticipate the impact of future issuances on these indicators. This number may evolve within the limits provided by the resolutions of the general meeting of June 17, 2026.
This diluted basis, however, does not include shares corresponding to amounts not yet issued under the capital increase program of 300 million euros authorized for the benefit of Tobam, nor the potential future exercise of several series of warrants in circulation. The number of fully diluted shares is adjusted only to reflect operations definitively carried out to date.
