Capital B proceeded with the issuance of 101,636 ordinary shares at an average price of €0.52 per share, within the framework of the ATM mechanism renewed on January 26, 2026. TOBAM's subscription requests grouped between July 13 and July 24, 2026 determined the subscription price according to the contractual formula (closing price, mNAV or floor price). The rounded average price of €0.52 represents a premium of 13% compared to the closing price of the business day preceding the press release.
The proceeds from this capital increase financed the acquisition of 1 additional BTC for an amount of €0.06 million, executed by Swissquote Bank Europe SA (MiCA-authorized service provider), with secure custody via Taurus technology solution.
Conversion of 14.2 Million B-01 Convertible Bonds by Blockstream Capital Partners
The Company announced the adjustment of the conversion price of its B-01 convertible bonds (OCA B-01), initially set at €0.544, reduced to €0.495 in accordance with the legal provisions of Article L. 228-99 of the Commercial Code (protection of holders' interests following the expiration of subscription warrants BSA 2025-01). Blockstream Capital Partners requested the conversion of its remaining 14,195,352 OCA B-01 into 28,687,362 shares at the rounded conversion price of €0.495, representing a premium of 7.6% compared to the closing price of the business day preceding the announcement. Following this conversion, all OCA B-01 will have been converted, and Blockstream will hold only the 55,279,428 OCA B-02.
