Cogelec: Downward Threshold Crossing
The group consisting of H.R.C., Meni, Pronoia, Raise Investissement companies and individuals Laurent Caramelle, Patrick Fruneau, and Patrice Kluba has crossed below the 50% threshold of capital and voting rights in Cogelec.
Significant Shareholding Change
On October 7, 2025, the group declared that it no longer held any Cogelec shares, except for 20 shares representing 40 voting rights, which is 0.00022% of the capital and 0.00028% of the voting rights. These shares are held by H.R.C.
Reason Behind the Threshold Crossing
This crossing of thresholds resulted from an off-market disposal of Cogelec shares, carried out indirectly through the sale of all Cogelec Développement shares to Legrand France. This transaction terminates the shareholders' agreement concerning Cogelec Développement, which was concluded on July 22, 2021.
Regulatory Compliance
This declaration is made in accordance with Article L. 233-7 of the Commercial Code regarding threshold crossings and Article L. 233-10 concerning the termination of coordinated actions.
