Drone Volt Raises €616,170 Through BSA Issue, Potential Dilution of 9.1%
The French manufacturer of professional civilian drones has completed the issuance of 7.05 million share subscription warrants (BSA) to key service providers and collaborators of the company, generating gross proceeds of €616,170. This operation aims to finance continued growth and to involve its contributors in future developments.
An Issue Reserved for Key Service Providers and Collaborators
The issuance, carried out on June 29, 2026, removed the preferential subscription rights of existing shareholders in favor of investors from categories defined by the Mixed General Meeting on February 21, 2025. The Board of Directors, convened on June 25, 2026, decided on the principle of this issuance based on a delegation obtained during the same meeting. The issuance price was set at €0.0874 per BSA, corresponding to the theoretical value of a BSA identical to those issued on May 4, 2026.
Characteristics and Exercise Terms of the BSAs
Each BSA grants the right to subscribe to one ordinary Drone Volt share, at an exercise price of €0.56 per share. The exercise period extends from August 3, 2026, to May 4, 2031. The exercise of all BSAs would result in the creation of 7.05 million additional shares, corresponding to an estimated dilution of approximately 9.1% based on the current share capital. The BSAs will not be admitted to trading on Euronext Growth Paris immediately upon issuance, although a request for admission to trading may be submitted later by the company.
Impact on Company Structure and Shareholder Equity
This strategic financial maneuver is designed to reinforce Drone Volt's capital while potentially impacting the equity stake of current shareholders. The decision to target key contributors reflects the company's focus on aligning long-term interests and fostering a shared commitment to its strategic objectives.
