Gaumont: Independent Expert Appointed Ahead of Public Withdrawal Offer
Gaumont and Ciné Par announce the appointment of an independent expert to assess the financial terms of the mandatory public withdrawal offer (OPR) imposed by the AMF. This appointment follows the appellate confirmation of the regulatory decision of October 10, 2025.
Appointment of Independent Expert
The firm Associates in Evaluation and Financial Expertise (A2EF), represented by Ms. Sonia Bonnet-Bernard, has been appointed as the independent expert by the Board of Directors of Gaumont, following the recommendation of the ad hoc committee formed on February 19, 2026. This committee consists of three independent directors: Ms. Félicité Herzog, Ms. Claudia Ferrazzi, and Mr. Antoine Gallimard. The expert will operate in accordance with the provisions of Article 261-1-I of the AMF general regulations, under the conditions set by AMF instruction DOC-2006-08 and AMF recommendation DOC-2006-15.
Details of the Public Withdrawal Offer
The public withdrawal offer, to be filed with the AMF in the coming weeks by Ciné Par and the Seydoux Family Group, targets all Gaumont shares not directly or by assimilation held by the Concert. The independent expert will prepare a report on the financial conditions of this transaction, the conclusion of which will be presented in the form of a fairness opinion. The Board of Directors of Gaumont will issue a reasoned opinion on the OPR project and its consequences for the Company, its shareholders, and its employees, after reviewing the expert's report. The report and the reasoned opinion will be made public as part of the OPR project.
