Genfit Announces Voluntary Withdrawal of its ADS from Nasdaq
The biopharmaceutical company GENFIT (Euronext and Nasdaq: GNFT) announces that the voluntary withdrawal of its American Depositary Shares (ADS) from the Nasdaq Global Select Market is now effective. Each ADS represented one ordinary share of the company.
Following this action, GENFIT has filed a Form 15F with the Securities and Exchange Commission (SEC) to suspend its reporting obligations in the United States. The deregistration of the ADS under the Securities Exchange Act is expected to occur within 90 days.
Details on ADS Program Termination
The ADS program, managed by The Bank of New York Mellon, will be terminated as of February 6, 2026. ADS holders have until February 9, 2026, to return their securities and request the delivery of the underlying ordinary shares. Conversion and cancellation fees apply. After this deadline, the depository may sell the unclaimed ordinary shares and distribute the net proceeds of the sale to the holders.
GENFIT remains listed on Euronext Paris under the same symbol, GNFT.
