JDE Peet's: Takeover Bid Threshold Lowered from 95% to 80% Following Key Vote
The extraordinary general meeting of JDE Peet's has approved all the proposals related to the takeover bid by Kodiak BidCo, a subsidiary of Keurig Dr Pepper.
Decisions Made at the Extraordinary General Meeting
JDE Peet's announced that its extraordinary general meeting (EGM) held on March 2, 2026, adopted all the items on the agenda. These resolutions pertain to post-closure restructuring measures, the appointment of proposed members to the board of directors effective from the settlement-delivery date, amendments to the corporate statutes, and the discharge of outgoing non-executive directors of the company.
Adjustment of the Acceptance Threshold for the Offer
As a result of the adoption of the resolutions related to post-offer restructuring, the acceptance threshold for the offer has been reduced from 95% to 80% of the company's outstanding share capital as of the offer's closing date.
