Keurig Dr Pepper Launches Public Takeover Offer for JDE Peet's at 31.85 Euros per Share
The American group Keurig Dr Pepper has announced the launch of a cash public takeover offer for all the shares of JDE Peet's at a price of 31.85 euros per share. The transaction, unanimously supported and recommended by the board of directors of JDE Peet's, includes plans to split KDP into two independently listed entities in the United States.
Details of the Takeover Offer
According to the press release, the offer is carried out by Kodiak BidCo B.V., an entity controlled by Keurig Dr Pepper, and covers all the issued and outstanding ordinary shares of JDE Peet's. The proposed price is 31.85 euros in cash per share. The board of directors of JDE Peet's has published a position statement containing its unanimous recommendation in favor of the offer, pursuant to Article 18 of the Dutch decree on public offers. The offer memorandum has been published today and is available on the websites of both companies. Furthermore, JDE Peet's will maintain the payment of a previously announced dividend of 0.36 euro per share, with payment scheduled for January 23, 2026, without this amount reducing the offer price.
Post-Acquisition Plans
According to the group, Keurig Dr Pepper plans to split into two independent companies listed in the United States after the completion of the acquisition. This operation aims to create, on one hand, a significant player in the North American refreshing beverages market and, on the other hand, a global coffee leader present in over 100 countries, with a portfolio of brands covering all segments, distribution channels, and price positions in the sector. The group indicates that this reorganization would lead to the creation of two strategically distinct entities.

It employs 29,000 people. On the other hand, JDE Peet's is presented as the global pure-play coffee leader, serving approximately 4,400 cups of coffee per second in over 100 markets. In 2024, the group achieved a total revenue of 8.8 billion euros and employed more than 21,000 people worldwide.
