LePermisLibre Launches Capital Increase of €0.9M at €0.055 per Share
LePermisLibre announced on September 9, 2026 the launch of a capital increase with the maintenance of preferential subscription rights, intended to finance the deployment of its phygital model.
The operation is accompanied by a refocusing of governance around its founder Lucas Tournel.
A Fundraising Campaign to Accelerate Agency Deployment
The operation concerns the issuance of 16,540,516 new shares at the unit price of €0.055, for gross proceeds of €909,728.38, which could be increased to a maximum of €1,046,187.615 in the event of full exercise of the extension clause. The price reveals a discount of 21.43% compared to the closing price on September 7, 2026 (€0.07).
The parity is set at 2 new shares for 3 existing shares. The company has received subscription commitments of approximately €599.4k, of which €200k through debt compensation, representing 65.89% of the planned capital increase.
According to the allocation planned by the company, net proceeds would be allocated at approximately 70% to acquisitions and agency openings (objective of ten agencies within six months, three of which are already committed), 17% to strengthening the multi-agency platform and tooling, and 13% to operational deployment and working capital requirements.
Governance Refocused Around Lucas Tournel
The Board of Directors has been restructured with the arrival of Laurent Fiard, President of Visiativ, Jean-Yves Airiaud, President of Iteractii, and Cédric Reny, CEO of Qwamplify. The Board is composed of Lucas Tournel, Romain Durand, Laurent Fiard, Jean-Yves Airiaud and Cédric Rénu as directors, as well as Martine Collonge and Jean-Philippe Caffiero as censors.
At its meeting on September 4, 2026, the Board took note of the end of Romain Durand's mandate as Deputy Managing Director, effective immediately, as part of the implementation of streamlined operational management around Lucas Tournel, Founder President and Chief Executive Officer. Romain Durand retains his board mandate until December 31, 2026.
The negotiation period for preferential subscription rights extends from September 11 to 21, 2026, and the subscription period for new shares from September 15 to 23, 2026 inclusive. Settlement-delivery is scheduled for September 30, 2026.
