Mexedia Doubles Its Capital Increase Ceiling to 150 Million Euros
Mexedia S.p.A., an Italian technology company listed on Euronext Growth Paris, had its Extraordinary General Meeting on March 13, 2026, approve a set of statutory amendments aimed at enhancing its financial and organizational flexibility.
Expanded Capital Increase Authority
The Assembly approved the revision of the delegation granted to the Board of Directors, raising the maximum ceiling for capital increases from 70,000,000 euros to 150,000,000 euros, including issue premiums. This delegation, exercisable once or multiple times over a five-year period, allows the Board to proceed with capital increases through cash contributions, in-kind contributions, or as claims. It also permits, when deemed in the interest of the Company and consistent with its development strategies, the exclusion or limitation of shareholders' pre-emptive rights to subscribe according to Italian legislation. Concurrently, the Assembly introduced the possibility for the Board to decide on free capital increases up to a maximum of 1,000,000 euros, intended for incentive plans and stock option programs for directors, employees, and collaborators of the Company and its subsidiaries.
Modified Assembly Convocation Procedures
The Assembly amended the procedures for publishing notices of assembly convocations, allowing the use of new communication methods, including publication in national newspapers or electronically, in accordance with applicable regulations and practices of listed companies. Additionally, the appointment of director Augusto Pellegrini, co-opted by the Board of Directors on October 13, 2025, was confirmed. He will remain in office until the expiration of the current Board's term.
