Ramsay Santé Refinances Its Senior Debt for €1.75 Billion
The hospital group has finalized the refinancing of its senior debt for €1.75 billion, enhancing its financial flexibility ahead of its potential distribution by Ramsay Health Care. During a Capital Markets Day scheduled in September, Ramsay Santé will present its medium-term strategy and ambitions for profitable growth.
Refinancing of Senior Debt for €1.75 Billion
Ramsay Santé announced the completion of the refinancing of its senior debt initiated on June 24, 2026, amounting to a total of €1.75 billion. This sum includes a Term Loan B of €1.55 billion and a revolving credit facility of €200 million. The new Term Loan B was placed with existing investors and new lenders. This transaction extends the maturities of the senior debt from 2031 to 2033 and simplifies the financing structure by refinancing, among other things, the €100 million Euro PP due in 2028 and 2029. It also ensures the continuity of the group's financing, with a change of control clause compatible with the planned distribution of its 52.79% stake by Ramsay Health Care to its own shareholders.
Capital Markets Day on September 17 and Australian Listing Request
Ramsay Santé will host a Capital Markets Day on September 17, 2026, in Paris, during which its management team will present its strategic roadmap, operational priorities, and medium-term financial ambitions. This event will detail the group's orientation towards profitable growth and medical excellence. The group also plans to file an application for admission as an exempt foreign entity on the Australian Securities Exchange (ASX) to allow Ramsay Health Care shareholders to hold their stake in the form of CHESS Depositary Interests (CDIs) tradable on this market. CDIs provide economic exposure and voting rights equivalent to those attached to ordinary shares.
Scheduled Distribution for December 2026
The indicative schedule foresees the publication of the demerger booklet in October 2026, followed by the general meeting of Ramsay Health Care shareholders in November 2026, before the transaction is completed in December 2026. Ramsay Santé has appointed BNP Paribas and UBS as ECM Financial Advisors, and Natixis as Co-ECM Financial Advisor, to assist with this distribution and the potential widening of its free float.
