Société Générale: Chairman of the Board of Directors to Step Down
Société Générale will submit to its General Meeting on May 27, 2026, proposals for the renewal of two directors and the appointment of two new directors, according to a press release issued on March 2. The board is thus updating its composition in accordance with independence criteria.
Board Proposals and Changes
The board proposes the appointment of Clara Furse as a director, as well as the confirmation of Laura Barlow, co-opted in September 2025. Jérôme Contamine and Diane Côté are proposed for mandate renewal. Lorenzo Bini Smaghi, an independent director since 2015, did not wish to renew his mandate due to the application of the independence criteria of the AFEP-MEDEF Code. Consequently, his chairmanship will end. William Connelly, whose appointment was confirmed during the session of April 10, 2025, will assume the chairmanship following the general meeting on May 27, 2026.
Post-Change Board Composition
Following these changes, the board would consist of about 46% women among its thirteen members (excluding directors representing employees) and 92% independent directors (excluding employee directors and directors representing employee shareholders). The board would have 46% of directors with at least one foreign nationality. The board has ensured that this composition will provide all the necessary skills for defining the group's strategy and overseeing its implementation.
