TERA Group Sells Its Laboratories to Celnor France
TERA Group has announced the sale of its TERA Environment and Toxilabo laboratories to CELNOR France, marking a strategic turning point for the company.
Complete Transfer of Laboratories
TERA Group has transferred all of its TERA Environment and Toxilabo laboratories to CELNOR France. The laboratories involved in this transfer include those located in Crolles and Fuveau for TERA Environment, and the one in Nantes for Toxilabo. This transaction represents CELNOR's first acquisition in France. CELNOR France is a subsidiary of the British group CELNOR, which employs over 1700 staff members. The acquisition is part of CELNOR's strategy to become a significant international player in the testing, inspection, certification, and compliance sectors.
Strategic Transformation
The sale is part of TERA Group's transformation strategy since its IPO in July 2019. The decision aims to refocus the group on its real-time measurement activities through TERA Sensor, Omwave, and Atmotrack, thereby ensuring its future growth. The group intends to focus on high-potential markets, leveraging its expertise in air quality measurement to expand its activities internationally.
Short-Term Financial Impact
In the short term, the sale will impact the group's revenue and profitability, as the laboratory activity previously represented 84% of the 2024 revenue with an EBITDA over 20%, compared to a consolidated EBITDA of 7% for the entire group. The number of employees will decrease from about 110 to around thirty. This operation should also strengthen TERA Group's financial structure, allowing nearly all debts to be repaid and accelerating the industrialization of new products. Furthermore, TERA Group plans to launch a public share buyback offer (OPRA) using part of the proceeds from the sale, with an amount of 13 million euros at 6.5 euros per share. This OPRA will be subject to shareholder approval at an extraordinary general meeting scheduled for the fourth quarter of 2025.
