ABL Texcell Diagnostics acquires IntegraGen for €100,000, retains 16 employees
Approved by the Évry commercial court on October 9, 2026, ABL Texcell Diagnostics' offer brings IntegraGen's assets and operations, placed under judicial reorganization, under the control of the molecular diagnostics specialist. For the acquirer, the transaction opens a first foothold in precision oncology, human genetics and rare diseases, several months after integrating Texcell's operations.
Assets, contracts and 16 employees acquired with no conditions precedent
ABL Texcell Diagnostics announced on October 12, 2026 the acquisition of IntegraGen's assets and operations, pursuant to the judgment handed down on October 9, 2026 by the Évry commercial court. On October 5, this court had examined the takeover proposals for the company, a specialist in cancer genomics and rare genetic diseases, including those from ABL Diagnostics and Health In Code. The case had then been adjourned until October 9.
The scope of the acquisition includes IntegraGen's strategic assets, its inventory and the contracts necessary for the continuation of operations. The transaction is not subject to any conditions precedent and is financed from the acquirer's own resources.
The employment aspect constitutes a central component of the offer validated by the court. ABL Texcell Diagnostics welcomes 16 employees whose skills cover sequencing, bioinformatics, quality and laboratory operations. The acquirer has committed to maintaining their contractual benefits and to assuming responsibility for their accrued paid leave entitlements.
The offer also provides for no redundancies on economic grounds for 24 months from the date of takeover. The operations will continue to be conducted from the Évry site, which strengthens ABL Texcell Diagnostics' presence within Genopole, a center dedicated to genomics, biotechnologies and health innovation. During the integration phase, the company prioritizes service continuity, support for teams and maintenance of the quality standards expected by clients.
Restart investments substantially exceed the purchase price
The acquisition price amounts to €100,000 in total. It breaks down into €95,000 for tangible and intangible assets and €5,000 for inventory. However, this amount reflects only part of the financial effort associated with the acquisition.
In addition to the price, the offer incorporates several economic and operational commitments: assumption of employees' accrued entitlements, continuation of contracts essential to operations and commitments relating to transferred equipment. An initial investment program estimated at €150,000 is added to support the redeployment of activities.
The most significant item concerns the restart. The company estimates that financing needs relating to the relaunch of operations, continuity of activity and integration could reach approximately €900,000 in the first months following the takeover. By adding the price, planned investments, identified needs and other commitments, ABL Texcell Diagnostics evaluates total economic commitment at more than €1.27 million.
This change in scope could have an impact on the group's financial reporting. The company indicated that it is reviewing its operational priorities, integration needs and roadmap. Following these efforts, the roadmap and targets communicated for fiscal year 2026 could be updated to reflect the new scope.
A first step in precision oncology and human genetics
IntegraGen combines commercial activities established in next-generation sequencing (NGS) and genomic analysis software with a portfolio of proprietary technologies in precision oncology. These include solutions for detecting and monitoring minimal residual disease, i.e., cancer cells that may persist after treatment while the disease is no longer detectable by conventional tests.
For ABL Texcell Diagnostics, historically positioned in molecular diagnostics for infectious diseases, this represents a first step into molecular oncology, human genetics and rare diseases. The company plans to combine Texcell's viral clearance studies with InteraGen's NGS and bioinformatics capabilities to offer pharmaceutical companies integrated services for biological characterization, viral safety and genomic analysis. It also plans to enter into discussions with companies specialized in oncology diagnostics, leveraging in particular IntegraGen's experience in US CLIA and CAP frameworks.
The implementation of these avenues will be progressive. It remains subject to completion of integration, validation of market needs and confirmation of the applicable regulatory scope and accreditations. "Our priority remains to ensure continuity of operations, to support the teams joining us and to maintain the satisfaction of customers who trust us," said Chalom Sayada, Chief Executive Officer of ABL Texcell Diagnostics.
