Aliko Scientific Creates a Subsidiary in Brazil to Target South America
Listed on Euronext Growth Paris, the Aliko Scientific group (Ikonisys SA) has announced the establishment of a 100% owned Brazilian subsidiary, coupled with an industrial cooperation agreement with local company Biodetecta.
The operation aims to provide the group with a dedicated platform for FISH and molecular probes, as well as a commercial base for South America.
A Subsidiary with Dual Industrial and Commercial Roles
Aliko Scientific announced on September 15, 2026 the launch of the Probantes project, with the ongoing establishment of Probantes Ltda, a Brazilian unit 100% owned by Aliko Scientific Srl and based in Anápolis, in the state of Goiás. The company is expected to be fully operational by the end of October and will be consolidated in the group's financial statements from its date of establishment.
According to the press release, Probantes is set to become the group's specialized operating unit for the development and production of molecular probes and diagnostic products based on FISH technology. It must also serve as a commercial and operational base in South America, supporting the deployment of Aliko Scientific's products and technologies in Brazil and then, progressively, across the entire Latin American market.
Francesco Trisolini, CEO of Aliko Scientific, stated that the objective was to "create a scalable platform capable of generating a broader proprietary portfolio and supporting the Group's long-term international expansion".
Cooperation with Biodetecta within a Dedicated Contractual Framework
Aliko Scientific has signed a strategic cooperation agreement with Biodetecta - Life Science Ltda, a Brazilian company active in molecular biology and in vitro diagnostics. The initial program covers the development, validation, regulatory approval and production of proprietary FISH probes. According to the press release, the project is already operational and Aliko Scientific has provided initial financing as part of the agreement.
The cooperation is structured as a "Sociedade em Conta de Participação" (SCP), a contractual vehicle without its own legal personality, with separate accounting and financial flows. The profits generated within the SCP will be distributed at 51% for Probantes and 49% for Biodetecta, and should in principle remain within the SCP to be reinvested, unless the partners agree otherwise.
Under the terms of the agreement, Biodetecta will hold the commercialization rights for products in Brazil, while Probantes and the Aliko Scientific group will retain exclusive commercialization and distribution rights outside Brazil, as well as intellectual property specific to the products.
