InPost: €15.60 offer settled, IS Iris Lux Bidco holds 88.9% of capital
The Offeror IS Iris Lux Bidco now holds approximately 88.9% of InPost's capital following the share buyback intended for the employee profit-sharing plan.
The Offeror increases its stake to 89.81% of capital
InPost and IS Iris Lux Bidco S.à r.l. (the Offeror) announced on 30 September 2026, from Amsterdam and Luxembourg, that the settlement of the recommended public offer for all of InPost's capital has been completed. Following this transaction, the Offeror acquired 89.81% of the shares.
This announcement is part of the offer launched by the Offeror, whose offer memorandum was approved by the Dutch Financial Markets Authority (AFM) and published on 22 May 2026. The price per share (Consideration) amounts to €15.60.

Immediately following settlement, InPost repurchased 4,376,943 shares from the Offeror at a price per share equal to that of the offer (€15.60), in order to fulfill its obligations under its long-term incentive plan (LTIP). The company subsequently transferred 2,505,058 of these shares to its employees at no cost.
The Offeror therefore holds approximately 88.9% of the shares. The 4,376,943 repurchased shares are expected to be contributed during the Post-Acceptance Period. Shareholders who have not yet tendered their securities may do so until 7 October 2026 at 17:40 (Central European time). Apart from the previously announced extension of the offer period, the terms and conditions of the offer remain unchanged.
We now expect Adjusted EBITDA to decline by a mid-single-digit percentage year-on-year (vs. flat previously), capex to be lower at PLN 2.1bn (vs. PLN 2.4bn previously), and net leverage at year-end to be higher than in 2025.
