Lexibook: Doodle Announces Simplified Takeover Bid at €8 (37.93% Premium)

Doodle SAS, the controlling shareholders' vehicle, acquired 8.89% of the capital held by Moneta Asset Management at a price of €8 per share on Wednesday and will file a simplified public takeover offer for the remaining free shares at the same price conditions.

Acquisition of a Block Representing 8.89% of the Capital

Doodle SAS, controlled by Aymeric, Emmanuel, and Luc Le Cottier, signed a block acquisition contract on June 3, 2026, with funds managed by Moneta Asset Management. This block represents 8.89% of Lexibook's capital and was acquired at a firm price of €8.00 per share. Following this operation, Doodle will increase its stake to 87.73% of the capital. This acquisition will allow Doodle's controlling shareholders to strengthen their control over the Lexibook group, with the support of Lawrence Rosen LLC as a financial partner.

Following the block transfer, Doodle intends to file with the Financial Markets Authority a project for a simplified public takeover bid by the end of June 2026, covering all Lexibook shares not held by the Initiator, approximately 12.27% of the capital. The price offered to minority shareholders will be €8.00 per share, identical to that acquired from Moneta Asset Management. This price represents a premium of 37.93% compared to the closing price on June 3, 2026, and 48.98% compared to the weighted average price over the previous 60 trading days. Subject to the compliance opinion of the AMF, the opening of the offer is envisaged for the third quarter of 2026.

Ad Hoc Committee and Independent Expert Appointed

The supervisory board of Lexibook, convened on June 3, 2026, unanimously welcomed the takeover bid project and established an ad hoc committee composed of Luc Le Cottier (chairman), Caroline Puechoultres, and Pascal Gandolfini, and appointed Crowe HAF as an independent expert to prepare a report on the fairness of the financial conditions. If the shares not presented in the offer do not represent more than 10% of the capital and voting rights at the end of the subscription period, Doodle will request the implementation of a mandatory withdrawal procedure at the offer price. Lexibook has 7,763,319 shares listed on Euronext Growth (ISIN: FR0000033599).
