Publicis Secures FTC Agreement for LiveRamp Acquisition with Five Key Commitments
Publicis Groupe has cleared a regulatory milestone in the United States for its planned acquisition of LiveRamp. According to a statement released on the evening of October 19, 2026, the group maintains its objective of closing the transaction before year-end.
An Agreement with the FTC Based on Commitments Proposed by Publicis
Publicis Groupe announced on October 19, 2026 that it had reached an agreement with the Federal Trade Commission (FTC) regarding the acquisition of LiveRamp. The group describes it as a "mutually acceptable" agreement. It is based on commitments that Publicis states it proposed on its own initiative to the American regulator.
The agreement covers the regulatory aspect conducted with the FTC, not the closing itself. The acquisition has not yet been completed. The statement mentions no transaction amount, and the announcement therefore does not modify the known financial terms of the transaction.
The heart of the matter lies in LiveRamp's particular position in the advertising chain. Publicis emphasizes that the neutrality and independence of LiveRamp have always been central to its model. The concrete issue is as follows: a company whose services are used by the entire ecosystem, including third-party agencies and competing platforms, comes under the control of a communications group.
To address this point, the two companies have taken measures in advance. Even before opening the regulatory process, LiveRamp's management had addressed its customers directly to reaffirm a series of operating principles. According to Publicis, these same principles underpin the outcome announced with the FTC.
The group states that it assessed from the outset the scope of this acquisition for its clients and for the entire sector. The agreement with the FTC thus conditions the combination on maintaining an open operation of LiveRamp, beyond just Publicis clients alone.
Five Commitments, Including Periodic Independent Audits
The retained commitments are structured around five principles. The first concerns freedom of choice: customers must be able to continue using LiveRamp's products and services independently, without going through Publicis.
The second concerns fair access. LiveRamp commits to ensuring access to its products and services on fair, reasonable and non-discriminatory terms. This type of clause is intended to prevent a Publicis competitor from being disadvantaged compared to group entities.
The third principle relates to data protection. Customer data must be protected and remain under their control. The fourth concerns interoperability: LiveRamp must maintain an open ecosystem connected to third-party agencies and platforms.
The fifth principle organizes oversight of the arrangement. Compliance with these commitments will be verified through independent audits conducted on a periodic basis. This external supervision mechanism distinguishes the agreement from a mere statement of intent by the two companies.
Publicis emphasizes that these principles remain unchanged compared to those communicated by LiveRamp to its customers before the procedure. The group specifies that the two companies intend to preserve these rules for the entire ecosystem, today and in the future.
Announcement Following a Third Quarter with 5% Organic Growth
This regulatory milestone comes just days after the publication of third-quarter activity. On October 13, 2026, Publicis Groupe had reported net revenue of 3,808 million euros, compared to 3,529 million euros a year earlier, an increase of 7.9% on a reported basis.
The quarter's organic growth had stood at 5%, and the group had confirmed its annual objective. On October 16, 2026, the stock had exceeded the 103.75 € threshold after two price target increases.
A member of the CAC 40, Publicis Groupe operates in more than 100 countries and employs approximately 114,000 employees. The group organizes its expertise around four main activities: communications, media, data and technology.
