Rebirth approves maximum €5M bond issue at 6.50% over five years
The board of directors of Rebirth, convened on October 19, 2026, unanimously approved a bond issuance intended to finance the completion of its real estate development operations in Italy and Spain, as well as the implementation of the Rebirth Campus project. According to the press release published on October 20, 2026, the net proceeds will be allocated exclusively to these operations.
Fixed-rate bonds reserved for qualified investors
Named « Rebirth 6.50% Secured Bonds 2026-2031 », the loan will have a duration of five years from its issuance date. It will carry a fixed gross annual interest rate of 6.50%, paid annually at maturity. It will be divided into a maximum of 50 bonds, each with a nominal value of €100,000, issued at par and reimbursable in a single payment at maturity.
The securities, which are non-convertible, are reserved for qualified Italian and foreign investors, excluding retail investors. They will be dematerialised and registered in the centralised management system of Euronext Securities Milan. The company plans to apply for admission to trading on the Vienna MTF of the Vienna Stock Exchange.
Mortgage guarantee and abandonment of merger project
The loan will be secured by a first-ranking voluntary mortgage on real estate assets held by the company, for the benefit of the bondholders collectively. Rebirth will have the option to redeem the bonds early, in whole or in part, at nominal value plus accrued and unpaid interest, subject to at least 15 business days' notice, in accordance with the loan agreement.
The company presents this bond as an additional instrument for the execution of the group's projects and the enhancement of its real estate assets. It indicates that the five-year structure is consistent with the development horizon of its initiatives. The chairman and chief executive officer have separately received the necessary powers for the issuance, placement and establishment of guarantees.
The board furthermore revoked its previous resolution regarding the merger and absorption of LO.DA. Immobiliare S.r.l. by Rebirth S.p.A. This decision follows the sale of the entire stake to Soul Movie Studios S.p.A., finalised in June 2026. According to the company, it aligns the structure of corporate operations with the group's updated scope.
