TBSO Announces a Capital Increase of €8 Million at €2.70 per Share
The TBSO ecosystem, which combines artificial intelligence and fintech, announces the launch of a capital increase with a maximum amount of 8 million euros at 2.70 euros per share, open to individual and institutional investors from May 27 to June 10, 2026.
Terms and Schedule of the Fundraising
The capital increase, decided on May 26, 2026, is conducted in two parts: a fixed-price offer in France aimed at individuals (OPF) and a global placement for institutional investors. The subscription price has been set at 2.70 euros per ordinary share, representing a discount of 32.16% compared to the last closing price on May 26 (3.98 euros).
The subscription period runs from May 27 to June 10, 2026. The results will be announced on June 11, 2026, with settlement-delivery scheduled for June 15, 2026. Following this operation, TBSO plans to transition its shares from a dual fixing quotation to a continuous quotation.
Commitment of the Founding Shareholder and Allocation of Funds
Quatre Vingt Dix, the holding company of Eric Larchevêque (founding leader and 62.22% of the capital), commits irrevocably to subscribe for a minimum amount of 3.8 million euros, representing 47.5% of the capital increase. This amount may be increased to 6.0 million euros, thus ensuring the completion of the operation at 75%.
The net proceeds from the raise, estimated at about 7.6 million euros if fully realized, will be allocated as follows: approximately 50% to develop and launch technological platforms (OPENSKL and the multi-asset NVST platform), about 30% for external growth through the planned acquisition of NVST SAS, and about 20% to accelerate the development of existing activities.
