Adeunis Appoints Independent Expert in Response to Webdyn's Simplified Takeover Bid
Adeunis has announced the appointment of SORGEM Evaluation, represented by Thomas Hachette, as an independent expert. This appointment is part of the voluntary simplified public takeover bid initiated by Webdyn.
Appointment of Independent Expert
The Board of Directors of Adeunis, convened on April 3, 2026, appointed SORGEM Evaluation, represented by Mr. Thomas Hachette, as an independent expert. This appointment was proposed by the ad hoc committee of the Board. The AMF did not oppose this appointment, in accordance with Articles 261-1-1 I and III of its General Regulation.
Role of the Independent Expert
The independent expert will prepare a report on the financial terms of the Offer, including a fairness opinion. Upon reviewing this report, the Board of Directors will issue a reasoned opinion on the Offer and its consequences for the Company, its shareholders, and its employees. This opinion and the report will be made public in the draft response note to be filed with the AMF.
