Atos: Shareholders to Decide on Governance on May 22
The Board of Directors of Atos SE has decided to convene a mixed general meeting on May 22, 2026, to approve the 2025 financial statements and to vote on changes to the board's composition.
General Meeting Scheduled for May 22, 2026
The mixed general meeting will be held on Friday, May 22, 2026, at 10 AM at the Atos headquarters (River Ouest, 80 quai Voltaire, Bezons). Shareholders will be asked to approve the financial statements for the fiscal year 2025 and to vote on several proposals regarding changes to the board of directors. The board recommends the renewal of the terms for Philippe Salle, Chairman and CEO, and Laurent Collet-Billon, Lead Independent Director, for a three-year period ending at the general meeting that will approve the accounts closed on December 31, 2028. The notice of meeting including the agenda and draft resolutions will be published in the Bulletin of Mandatory Legal Announcements and on the website www.atosgroup.com/fr/investisseurs/assemblees-generales.
Board Composition Pending Renewal Approval
Subject to the approval of the renewal proposals, the board of directors will consist of nine members, including one employee representative, with 87.5% independent members and 50% women. The mandate of the censor Mandy Metten will expire at the end of the next general meeting and will not be renewed, in line with best governance practices. The mandate of the employee representative director Farès Louis will also expire, and the company will timely communicate on the appointment of the new employee representative director in accordance with legal provisions.
