Capgemini Completes Acquisition of WNS for $3.3 Billion
Capgemini announces the completion of the acquisition of WNS, strengthening its position in the field of AI-based Intelligent Operations.
Finalization of the Acquisition
Capgemini has finalized the acquisition of WNS, a player in the digital business process management services sector, for a total amount of $3.3 billion. The transaction was concluded at a price of $76.50 per WNS share, in cash. The aim of this acquisition is to create a global leader in the field of Agent-based Intelligent Operations. According to Capgemini, this move allows the combination of its expertise in strategy and transformation with the platforms and sector expertise of WNS.
Financing the Acquisition
To finance the purchase of WNS, Capgemini issued a bond loan of 4.0 billion euros. This financing not only covers the cost of the acquisition but also refinances existing financial debt and meets the general needs of the group. Following this bond issue, the initial bridge loan concluded as part of the acquisition was cancelled. This financial strategy aims to integrate WNS smoothly and strengthen Capgemini's financial structure.
Strategic Implications of the Acquisition
The acquisition of WNS is part of Capgemini's strategy to expand its offering in Intelligent Operations, a rapidly growing sector fueled by the rise of generative and agent-based artificial intelligence. According to both companies, this operation should enhance the efficiency and agility of business processes through hyper-automation, thus creating operational benefits for clients. WNS will be integrated into Capgemini's accounts starting October 17, 2025, marking the beginning of a new phase of synergies and growth for the group.
