Legrand Acquires Majority Stake in Cogelec
Legrand has completed the acquisition of 60.09% of Cogelec's shares, thereby strengthening its position in the sector.
Completion of Acquisition
Through its subsidiary Legrand France, Legrand finalized on October 7, 2025, the acquisition of all shares of Cogelec Développement. This company indirectly holds 5,347,065 Cogelec shares, representing 60.09% of the capital and 75.07% of the voting rights of Cogelec. The agreed price per Cogelec share was 29 euros. This takeover strengthens Legrand's position in the electrical and digital solutions sector.
Future Acquisition Plans
Legrand France plans to soon launch a simplified public tender offer to acquire the remaining Cogelec shares it does not yet own, at the same unit price of 29 euros. If the required thresholds are met at the end of the offer, Legrand intends to proceed with a mandatory withdrawal, in accordance with current legal and regulatory provisions, to acquire the remaining Cogelec shares.
Changes in Board Composition
Following this acquisition, the composition of Cogelec's board of directors has been modified. The board now includes four directors representing Legrand: Ms. Emmanuelle Levine, Mr. David Descamps, Mr. Yriex Roullac, and Mr. Franck Lemery. Three historic directors of Cogelec, Mr. Roger Leclerc, Ms. Dominique Druon, and Ms. Brigitte Geny, remain on the board, with the latter two serving as independent directors. Mr. Roger Leclerc will continue to serve as CEO until the appointment of a new CEO, scheduled no later than December 31, 2025. He will remain as chairman of the board until June 30, 2026.
