Vinci launches capital increase reserved for employees at €119.33 per share
VINCI has launched a capital increase reserved for Group employees in France, as part of its savings plan. The subscription period runs from September 1 to December 31, 2026.
An operation governed by the general assembly delegation
The mixed general assembly of shareholders on April 14, 2026 delegated to the Board of Directors, by its 17th resolution, the authority to proceed with capital increases reserved for employees for a period of 26 months expiring on June 13, 2028. At its meeting on June 23, 2026, the Board of Directors of VINCI set the terms of this operation reserved for Group employees in France.
The maximum number of shares that may be issued and the total amount of the issue will depend on the level of employee subscriptions to the shares to be issued by the FCPE "Castor Relais 2026/3", confirmed at the end of the subscription period.
An issue price fixed at €119.33 per share
The issue price of the new shares is equal to 95% of the average of the first quoted prices of VINCI shares on Euronext Paris during the 20 trading sessions preceding June 23, 2026, namely €119.33 per new share to be issued.
The total new shares that may be issued on the basis of the 17th and 18th resolutions of the general assembly of April 14, 2026, the latter in favor of employee shareholding residing in certain foreign countries, may not exceed 1.5% of the share capital at the time of the Board's decision.
The FCPE "Castor Relais 2026/3" will subscribe to the new shares at the end of January 2027. Their admission to trading on the regulated market of Euronext Paris will be requested immediately after their creation, these shares bearing rights from January 1, 2026.
