Vistra Acquires Cogentrix for $4 Billion, Expanding Its Generation Portfolio
American energy group Vistra has announced a definitive agreement to acquire Cogentrix Energy, including ten natural gas power plants with a total capacity of approximately 5,500 megawatts. The net purchase price amounts to about $4 billion, according to the press release dated January 5.
Details of the Acquisition
The acquisition includes three combined cycle facilities and two combustion turbine facilities in the PJM region, four combined cycle facilities in ISO New England, and one cogeneration facility in ERCOT, the company states. The net purchase price of approximately $4 billion consists of a cash payment of about $2.3 billion, Vistra stock consideration of approximately $0.9 billion corresponding to 5 million ordinary shares valued at $185 per share, the assumption of about $1.5 billion of existing debt at Cogentrix, offset by about $0.7 billion of net present value of expected tax benefits directly generated by the transaction, according to the press release. The net price implies a multiple of about 7.25 times the expected adjusted EBITDA for 2027 and about $730 per kilowatt of capacity for the portfolio, the group specifies. Cogentrix is indirectly owned by funds managed by Quantum Capital Group, which will receive the stock consideration and thus become a shareholder of Vistra.
Portfolio Composition and Performance
The Cogentrix portfolio consists of modern, high-performance gas assets, with an average thermal efficiency of about 7,800 Btu per kilowatt-hour, according to the company. The Patriot and Hamilton-Liberty facilities, commissioned in 2016, show thermal efficiencies below 7,000 Btu per kilowatt-hour, the press release states. The acquisition adds 5,500 megawatts of net capacity in the PJM, ISO New England, and ERCOT regions. Combined with the current park, Vistra's generation portfolio will reach approximately 50,000 megawatts of capacity across the United States, according to the group. Vistra will acquire 100% ownership of all the plants, including the 25% interests in the Patriot and Hamilton-Liberty facilities not currently owned by Cogentrix, the press release specifies.
Financial Impact and Regulatory Approvals
The acquisition is expected to generate an accretion of the adjusted free cash flow from ongoing operations per share in the mid-single digits in 2027, and in the high single digits on average over the period from 2027 to 2029, according to the group's forecasts. Vistra anticipates that the transaction will exceed its leveraged return target set in the mid-teen range, the company indicates. The group reiterates its previously announced capital allocation plan, including a long-term net leverage target below 3 times the adjusted EBITDA from ongoing operations, the planned disbursement of $300 million in annual dividends to shareholders, and at least $1 billion in share buybacks each year, the press release specifies. The transaction is subject to certain regulatory approvals, including from the Federal Energy Regulatory Commission, the Department of Justice under the Hart-Scott-Rodino Act, and certain state authorities, and is expected to be finalized in mid to late 2026, according to the group.
