Bestprice Hotels Approves a Capital Increase of Up to €10.3 Million
On 3 November 2026, the board of directors of the Spanish economy hotel chain exercised the authorisation granted by the general meeting of 22 June 2026. Its two main shareholders, Techsales Ventures and Top Prosmarket, which hold 49.234% and 49.245% of the share capital respectively, will not exercise their preferential subscription rights.
External Investors Expected to Subscribe to the Issue
The transaction, carried out in cash with preservation of preferential subscription rights, concerns the issue of up to 4,808,144 new ordinary shares, carrying the same rights as the existing shares. The issue price is set at €2.1422 per share, comprising a nominal value of €0.0075 and a share premium of €2.1347.
In the event of full subscription, the amount will reach €10,300,006, of which €36,061.08 under nominal value. The board has provided that the capital increase will take effect even if it is not fully subscribed.
With the reference shareholders staying aside, the company anticipates that the shares will be placed during the discretionary allocation period. Two institutional investors are expected to subscribe for approximately €5.15 million, and third-party investors with diverse profiles for an equivalent amount, mainly in Spain and occasionally in other European Union countries.
A Timetable Pending Publication in the BORME
The notice of capital increase is being published in the Official Bulletin of the Commercial Registry (BORME), expected in the coming days. The preferential subscription period will open on the first business day following this publication and will last twenty-one calendar days.
The company will request the admission of preferential subscription rights to trading on Euronext Access Paris during the first five trading days of this period, subject to Euronext's decision.
To obtain a whole-number ratio between new and existing shares, Top Prosmarket has irrevocably waived the rights attached to 131,176 of its shares, taking into account the 142,720 treasury shares.
The discretionary allocation period will then last ten business days, extendable by the same length at the board's discretion, under the global coordination of GVC Gaesco. Being less than €12 million, the issue is exempt from the prospectus requirement. It takes place one week after the board meeting of 27 October 2026, which had adopted several decisions relating to the admission of the shares to the BME Growth segment.
