Bluelinea launches a capital increase of 5.3 M€ at 0.05 € per share, backed by Apicil
Bluelinea's Board of Directors decided on October 15, 2026 to issue 106,432,512 new shares at the unit price of 0.05 €, with the maintenance of shareholders' preferential subscription rights (PSR). According to the press release published on October 16, 2026, the operation is supported by a subscription commitment from APICIL Group, which holds 85% of the capital of the company specialized in teleassistance and senior services.
Net proceeds of approximately 5.2 M€ allocated to debt reduction
The net proceeds from the issue, estimated at approximately 5.2 M€ for a maximum gross product of 5,321,625.60 €, is intended according to the company to "lighten Bluelinea's debt burden in a difficult context" and to ensure its operating continuity beyond the next 12 months. Bluelinea indicates it has financial visibility of more than 12 months, taking into account the expected proceeds from the operation.
This project had been presented on October 9, 2026, during a publication that brought together first-half accounts, third-quarter revenue down 12%, and the announcement of APICIL's support for this strengthening of equity. It follows a previous capital increase of 1.5 M€.
The company specifies that no new major risks related to its business have been identified since the publication of its 2026 half-yearly financial report. Since the amount of the offer is less than 12 million euros over 12 months, the operation does not give rise to a prospectus subject to approval by the Financial Markets Authority.
Subscription from October 22 to November 3, APICIL committed to the full amount
Each share held at the end of trading on October 19, 2026 will give the right to a PSR, allowing the subscription of 4 new shares. The price of 0.05 € is broken down into 0.01 € of par value and 0.04 € of share premium. Based on the closing price of 0.11 € on October 15, 2026, the theoretical value of the PSR is 0.05 €.
The PSRs will be tradeable from October 20 to 30, 2026 inclusive on Euronext Growth Paris, under ISIN code FR001401BN47, and the subscription period will extend from October 22 to November 3, 2026 inclusive. Settlement-delivery and admission of new shares are scheduled for November 10, 2026, according to the indicative calendar.
APICIL Group has committed to subscribe on an irreducible basis up to its pro rata share, then on a reducible basis for the balance, so as to cover 100% of the capital increase. The issue is not subject to a completion guarantee within the meaning of Article L. 225-145 of the French Commercial Code, and the company indicates it has no knowledge of the intentions of its other shareholders. Prior to the operation, the capital stands at 266,081.28 €, divided into 26,608,128 shares.
