Bluelinea raises €5.3 million, oversubscribed, to fund its going concern over 18 months
According to the press release published on November 5, 2026, the net proceeds of €5.2 million are intended to ensure Bluelinea's going concern over the next 18 months. The company, which held €0.6 million in cash as of June 30, 2026, states that it now has financial visibility of more than 12 months as of the date of the press release.
Demand exceeding the number of new shares to be issued
The subscription period, which closed on November 3, 2026, received requests for 113,452,246 new shares, for 106,432,512 securities to be issued at a unit price of €0.05 (nominal value of €0.01). The gross amount of the capital increase, carried out with preservation of preferential subscription rights, amounts to €5,321,625.60.
Subscriptions as of right (à titre irréductible) cover 97,076,916 shares (approximately 91.21% of the issue), and subscriptions on a discretionary basis (à titre réductible) cover 9,355,596 shares (approximately 8.79%). The APICIL Group, committed to subscribing 100% of the amount, took 90,620,632 shares as of right, in proportion to its share of capital, for €4,531,031.60.
The majority shareholder also subscribed 9,321,796 shares not taken up as of right, for €466,089.80, representing almost all of the securities allocated on a discretionary basis. All of its subscriptions were paid up in cash.
Debt of €4.1 million as of June 30, with APICIL's advance already repaid
As of June 30, 2026, Bluelinea's financial debt amounted to €4.1 million: €1.0 million in bank loans and €3.1 million in various financial debts, mainly consisting of a shareholder current account advance from the APICIL Group and a 2023/2024 VAT debt.
This advance has since been fully repaid using the €1.5 million net proceeds from the capital increase carried out in July 2026. The current transaction, decided by the Management Board on October 15, 2026, follows the publication, on October 9, of a 19% decline in third-quarter sales.
Settlement-delivery and the admission of the new shares to trading on Euronext Growth Paris are scheduled for November 10, 2026, on the same trading line as the existing shares. The next publication, devoted to 2026 revenue, is set for January 7, 2027, before market opening.
