Elis: 99% of its 2029 OCEANE convertible bonds presented for conversion or exchange, 23.6 million shares to be delivered
Elis published on October 7, 2026 the results of the conversion and exchange period for its convertible and/or exchangeable bonds for new and/or existing shares (OCEANE) maturing in 2029, with a total nominal amount of 380 million euros.
3,767 bonds out of 3,800 presented by October 2 at the latest
On September 11, 2026, the company announced its decision to redeem early, on October 13, 2026, all outstanding bonds. These securities bear interest at a rate of 2.25% and mature on September 22, 2029. Bondholders had until October 2, 2026 to exercise their right to share attribution, based on a ratio of 6,256.8564 Elis shares per bond. In total, 3,767 bonds were validly presented for conversion or exchange, out of 3,800 in circulation as of September 11, 2026. Based on a unit par value of 100,000 euros, these contributions represent a total nominal amount of 376.7 million euros.
Treasury shares mobilized to limit the issuance of new securities
The exercise of these rights results in the delivery of 23,569,556 Elis shares, composed of 18,104,556 existing treasury shares and 5,465,000 new shares. The total represents 9.89% of the group's capital after the issuance of new shares. The existing shares come from the share buyback program completed on July 9, 2026, which the company mobilizes in order to limit the number of new shares to be issued. The share capital now amounts to 238,313,588 euros, divided into the same number of ordinary shares with a par value of one euro. Settlement and delivery of the shares will be carried out on October 7, 2026. The 33 remaining bonds, for which the right to share attribution was not exercised, will be redeemed in cash on October 13, 2026 at the price of 100,129.45 euros per bond, including accrued interest of 129.45 euros. The total amount of this redemption reaches 3,304,271.85 euros.
